Starting a company with a single member can make business ownership simpler, but it does not remove the need to follow corporate and tax laws. An One Person Company is a separate legal entity and must maintain its books, file statutory forms, prepare financial statements, and meet applicable tax and regulatory obligations. Understanding these requirements helps avoid late fees and compliance issues.

What Is an OPC and Why Is Compliance Important?

An OPC is a private company structure designed for a single member. It has a separate legal identity from its owner, so business records and statutory responsibilities need to be maintained at the company level.

Compliance includes accounting records, financial statements, audit, annual filings, board documentation, income-tax obligations, and applicable registrations. Some requirements are simplified, but a compliance calendar is still important.

Key One Person Company Compliance Requirements

The main requirements generally cover the following areas.

1. Maintain Proper Books of Account

The company should maintain books of account and supporting documents for its transactions. Records should properly reflect sales, purchases, expenses, assets, liabilities, loans, bank transactions, and other business activities.

Maintaining records throughout the year makes financial statement and tax preparation easier. Businesses should also preserve invoices, payment records, bank statements, and documents supporting accounting entries.

2. Prepare and Audit Financial Statements

Financial statements generally include the balance sheet, statement of profit and loss, and other required documents. They must follow applicable accounting requirements and be audited where required.

Under the Companies Act, an OPC must file its financial statements, duly adopted by its member and accompanied by required documents, with the Registrar within 180 days from the close of the financial year.

3. File the Annual Return

Annual return filing is another important One Person Company obligation. MCA materials identify MGT-7A as the annual return form for OPCs and small companies.

The return contains prescribed information about the company, including registered details, shareholding, directors, and other particulars. Under Section 92, an annual return is generally filed within 60 days from the AGM; where no AGM is held, the Act provides for filing within 60 days from the date on which the AGM should have been held.

4. Follow Board Meeting Requirements

The meeting requirements are simpler than those applicable to many other companies. The law provides a specific relaxation: where an OPC has more than one director, at least one Board meeting should be held in each half of a calendar year, with at least 90 days between the two meetings. Where an OPC has only one director, the Board meeting and quorum provisions do not apply in the same way.

Even where formal meetings are limited, important decisions should be properly documented through resolutions, minutes, or entries as required by law.

5. Maintain Nominee and Director Details

An OPC is structured around one member and a nominee who can become the member in specified circumstances. The company should keep nominee and director information updated with the MCA. Changes to directors, registered office, nominee, shareholding, or other statutory particulars should be reviewed promptly so the applicable filing can be completed within the prescribed period.

6. Comply With Income Tax Requirements

Corporate income-tax compliance is separate from MCA filings. The company needs to calculate taxable income, pay applicable advance tax and self-assessment tax, deduct and deposit TDS where required, and file the applicable income-tax return.

Tax audit requirements depend on the nature and level of business activity and the applicable thresholds. The Income Tax Department notes that tax-audit thresholds are linked to turnover, receipts, cash transactions, and other conditions.

Because tax procedures and deadlines can change, the relevant assessment or tax year should be checked before filing. For example, the Income Tax Department announced changes to certain AY 2026-27 filing deadlines on 29 September 2026.

7. Check GST, TDS, PF, ESI and Other Applicable Registrations

Not every OPC has the same indirect-tax or employment-law obligations. GST registration and periodic GST returns may apply depending on the business, turnover, supplies, and other conditions. TDS compliance can apply when the company makes specified payments such as salary, professional fees, rent, or certain contractual payments.

If the company employs eligible workers, payroll-related requirements such as provident fund, employee state insurance, professional tax, or labour-law registrations may also apply based on the rules and location.

8. Maintain Statutory Records and Corporate Documents

An OPC should keep its incorporation documents, PAN, financial statements, audit reports, invoices, bank records, registers, contracts, resolutions, and filed MCA forms in an organised manner. A clear document trail is useful during audits, financing discussions, due diligence, or regulatory queries.

MCA rules provide for an abridged Board's Report for OPCs and small companies, covering specified information such as Board meetings, financial highlights, material changes, director changes, and certain auditor-related matters.

Common Compliance Mistakes to Avoid

A common mistake is assuming that a single-owner company has little or no compliance work. Waiting until year-end to organise records can also lead to missed MCA deadlines, incorrect tax calculations, incomplete TDS records, and avoidable costs.

A better approach is to maintain a monthly accounting routine and an annual compliance calendar. Track financial statement preparation, audit, annual return, income-tax return, GST and TDS filings, licence renewals, and business-specific requirements.
